These Terms of Use (“Terms”) govern your access to and use of https://qai88.ai and the related websites, forms, calendars, communications, and services provided by Qai88 Inc. (collectively, the “Services”). Qai88 Inc. is referred to as “Qai88,” “we,” “us,” or “our.”
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
ELIGIBILITY
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. Certain information and private opportunities are intended only for persons who qualify as accredited investors under applicable U.S. securities laws and satisfy any additional eligibility requirements stated in the applicable offering documents.
Your representation that you are an accredited investor is preliminary only. The applicable issuer or its authorized provider may require separate verification and may accept or reject any prospective investor in its sole discretion, subject to applicable law.
QAI88’S ROLE
Qai88 is a marketing, communications, and investor-qualification platform. Unless expressly stated in a separate written agreement, Qai88 is not acting as:
• A broker-dealer, securities exchange, investment adviser, placement agent, law firm, accounting firm, tax adviser, or fiduciary.
• The issuer, sponsor, owner, or operator of an opportunity displayed through the Services.
• A custodian or recipient of investment funds.
Qai88 does not execute securities transactions, hold customer funds or securities, guarantee financing, or provide personalized investment, legal, accounting, or tax advice. You should consult your own licensed advisers before making any financial or investment decision.
NO OFFER, SOLICITATION, OR RECOMMENDATION
Website content is provided for general informational and educational purposes and to identify possible interest. Nothing on the Services, standing alone, constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation of any security or investment strategy.
Any offer or sale of securities will be made only by the applicable issuer through its official and current offering documents, subscription materials, and required disclosures, and only to persons and in jurisdictions where lawful. If website content conflicts with official offering documents, the official offering documents control.
Qai88 does not determine whether an investment is suitable or appropriate for you. You are solely responsible for conducting independent due diligence and evaluating the merits, risks, fees, conflicts, liquidity, tax consequences, and legal consequences of any opportunity.

CONFIDENTIAL INFORMATION AND DATA ROOMS
Access to certain materials may require an eligibility review, confidentiality agreement, non-disclosure agreement, or other authorization. You may not access, copy, download, forward, publish, or use confidential materials except as expressly permitted. If a separate confidentiality or data-room agreement conflicts with these Terms regarding confidential materials, the separate agreement controls.
USER SUBMISSIONS AND ACCURATE INFORMATION
You agree to provide accurate, current, and complete information and not to impersonate another person or misrepresent your identity, authority, accreditation status, or intentions. You are responsible for the legality and accuracy of materials you submit and for obtaining any permissions required to submit them.
You grant us a non-exclusive right to use submitted information as reasonably necessary to operate the Services, respond to you, evaluate your request, make an authorized introduction, comply with law, and enforce these Terms, subject to our Privacy Policy.
ELECTRONIC COMMUNICATIONS
By providing an email address or telephone number, you authorize us to contact you in response to your requests and as otherwise permitted by law. Marketing consent is handled separately and is not required as a condition of purchasing any product or service or reviewing an opportunity.
You agree that electronic records, notices, disclosures, and signatures may satisfy legal requirements that communications be in writing, to the extent permitted by law.
SMS MESSAGING TERMS
If you separately check an SMS consent box or otherwise provide legally sufficient consent, you agree to receive text messages from Qai88 at the telephone number you provided. Messages may include appointment confirmations and reminders, requested information, follow-up communications, service updates, and, if you separately consent, marketing messages about Qai88 and current private opportunities.

• Cost: Message and data rates may apply.
• Opt-out: Reply STOP to unsubscribe at any time. You may receive one final confirmation message.

• Consent: Consent to receive marketing texts is not a condition of purchasing any product or service or reviewing an opportunity.
• Carriers: Carriers are not liable for delayed or undelivered messages.
You represent that you are the subscriber or customary user of the number provided and are authorized to consent to messages at that number. If your number changes or is reassigned, you agree to notify us promptly.
We may change or terminate the messaging program at any time. Your participation is also governed by our Privacy Policy.
ACCEPTABLE USE
You may not:
• Use the Services for unlawful, fraudulent, misleading, or abusive purposes.
• Attempt to gain unauthorized access to any system, account, data room, or confidential material.
• Interfere with the security, operation, or availability of the Services.
• Upload malware or use automated tools to scrape, harvest, or extract data without written permission.
• Copy, reproduce, republish, sell, sublicense, or commercially exploit website content except as expressly permitted.
• Misrepresent Qai88’s content as investment advice, an assurance of accreditation, or a guarantee of any result.
• Use information obtained through the Services to spam, harass, or improperly solicit another person.
INTELLECTUAL PROPERTY
The Services, including their design, text, graphics, logos, photographs, videos, software, and other content, are owned by or licensed to Qai88 and are protected by intellectual-property laws.
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal or internal business evaluation. No other rights are granted.
THIRD-PARTY WEBSITES AND SERVICES
The Services may contain links to third-party websites, platforms, issuers, sponsors, or providers. Links are provided for convenience and do not, by themselves, constitute endorsement.
Third-party terms and privacy policies govern your use of those services. Qai88 is not responsible for third-party content, acts, omissions, availability, or security.
DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” QAI88 AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND REPRESENTATIVES DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY OPPORTUNITY WILL BE AVAILABLE, SUCCESSFUL, PROFITABLE, SUITABLE, OR COMPLETED.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QAI88 AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT VALUE; OR DAMAGES ARISING FROM AN INVESTMENT DECISION, THIRD-PARTY CONTENT, UNAUTHORIZED ACCESS, OR INABILITY TO USE THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID DIRECTLY TO QAI88 FOR USE OF THE SERVICES DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow certain exclusions or limitations, so some provisions may not apply to you.
INDEMNIFICATION
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Qai88 and its affiliates, officers, directors, employees, contractors, and representatives from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from your unlawful use of the Services, your violation of these Terms, your infringement of another person’s rights, or information or materials you submit.
SUSPENSION AND TERMINATION
We may suspend or terminate your access to the Services if we reasonably believe you violated these Terms, created risk or legal exposure, misused confidential information, or engaged in fraudulent or harmful conduct.
Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimer, liability, indemnification, and dispute provisions.
GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Subject to applicable law, any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming. Each party consents to those courts’ jurisdiction and venue.
CHANGES TO THESE TERMS
We may update these Terms from time to time by posting the revised version and changing the “Last Updated” date. Changes apply prospectively when posted unless applicable law requires additional notice or consent.
Your continued use after the effective date of revised Terms constitutes acceptance of the changes.
MISCELLANEOUS
These Terms and the Privacy Policy are the entire agreement regarding general use of the Services, except for any separate agreement that expressly governs a specific service, confidential disclosure, or offering.
If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, merger, acquisition, sale of assets, or by operation of law.
